These Terms and Conditions govern access to and use of Phonix Pay, a smartphone financing and device-management platform operated by Apex Arbitrage Ventures.

For purposes of these Terms, "Apex Arbitrage Ventures," "Phonix Pay," "we," "us," or "our" refers to Apex Arbitrage Ventures and its Phonix Pay product, platform, applications, websites, services, and related systems.

These Terms apply to:

  • The Phonix Pay marketing website;
  • The Phonix Pay admin and merchant platform;
  • The Phonix Pay mobile DPC app;
  • Any related portals, support tools, payment features, documents, APIs, notifications, and services.

By accessing or using Phonix Pay, creating an account, signing into the admin platform, accepting a customer agreement, using the mobile app, submitting a form, completing a payment, or continuing to use a financed device with the Phonix Pay app installed, you agree to these Terms. If you do not agree to these Terms, you must not use the relevant Phonix Pay service.

1. Important structure of these Terms

These Terms are divided into general terms and platform-specific terms.

  • Part A: General Terms applies to all users.
  • Part B: Marketing Website Terms applies to visitors, prospective customers, and people submitting interest forms.
  • Part C: Admin Platform Terms applies to merchants, shop owners, staff users, and authorized business users.
  • Part D: Mobile DPC App Terms applies to customers using financed devices, customer app features, payment tracking, documents, and device-management features.
  • Part E: Legal, payment, data, security, liability, termination, and dispute terms applies across the Phonix Pay services.

Where there is a conflict between these Terms and a signed financing agreement, hire purchase agreement, conditional sale agreement, device management consent, merchant agreement, or other written agreement, the more specific signed agreement will apply to that particular transaction or relationship.

2. Definitions

In these Terms:

  • Admin Platform means the Phonix Pay web dashboard used by merchants, shop owners, staff, finance users, operations users, and authorised administrators.
  • Customer means an individual who uses Phonix Pay to access, manage, or repay a financed device or who interacts with the customer website or mobile app.
  • DPC App means the Phonix Pay mobile device policy controller, device-management, or customer app installed on a financed Android device.
  • Device means a smartphone, tablet, or other supported device that is sold, financed, managed, provisioned, monitored, or supported through Phonix Pay.
  • Financed Device means a device provided under a hire purchase, conditional sale, installment, lease-to-own, or similar repayment arrangement.
  • Merchant means a retailer, shop owner, dealer, financing partner, or authorised business using Phonix Pay to offer or manage smartphone financing.
  • Merchant User means an authorised user acting on behalf of a merchant, including shop owners, staff, managers, finance users, and operations users.
  • Platform means the Phonix Pay websites, admin dashboard, DPC app, mobile app, APIs, documents, payment tools, notifications, support tools, and related services.
  • Policy means a device-management, repayment, notification, security, provisioning, release, or compliance rule configured through Phonix Pay and sent to the DPC app.
  • Services means all services provided by or through Phonix Pay.
  • User means any customer, merchant, staff member, admin, visitor, or other person accessing or using Phonix Pay.

Part A: General Terms

3. About Phonix Pay

Phonix Pay is a product of Apex Arbitrage Ventures that helps customers access smartphones through approved merchants and pay through structured repayment plans. Phonix Pay also provides merchants with tools for customer onboarding, contracts, payment tracking, inventory, device provisioning, DPC management, documents, audit logs, reports, and customer support.

Phonix Pay may support:

  • Customer onboarding, device financing workflows, digital contracts and consents, payment tracking, and payment processing integration;
  • Inventory assignment, DPC app setup, device lock/unlock workflows, lost mode workflows, customer documents, and merchant reports;
  • System audit logs and policy management.

Phonix Pay does not guarantee that every customer will qualify for financing, that every device will be available, or that every merchant will offer the same plans, prices, deposits, repayment cycles, or terms.

4. Eligibility

You may use Phonix Pay only if you are legally capable of entering into binding agreements.

Customers must provide accurate identity, contact, address, payment, and device-related information when required. Merchants and admin users must be authorised by their organisation or by Phonix Pay to use the Admin Platform.

We may refuse, suspend, restrict, or terminate access where we believe a user is not eligible, has provided false information, has misused the platform, or has created security, legal, payment, or operational risk.

5. Account registration and security

Some Phonix Pay services require account registration. You agree to:

  • Provide accurate account information;
  • Keep login credentials confidential;
  • Use MFA where required;
  • Not share admin accounts;
  • Not allow unauthorised persons to access your account;
  • Notify us immediately of suspected unauthorised access;
  • Accept responsibility for actions taken through your account unless caused by our proven fault.

Admin Platform users must use individual accounts. Shared staff accounts are prohibited unless expressly approved in writing by Phonix Pay. We may require password resets, MFA, session timeout, IP restrictions, or additional verification for sensitive actions.

6. Electronic communications and records

You agree that Phonix Pay may communicate with you electronically, including through:

  • Email, SMS, push notifications, in-app messages, admin dashboard notices, DPC app notices, and support messages;
  • Digital documents, payment receipts, and audit records.

You agree that electronic records, digital confirmations, online acceptances, OTP confirmations, app acknowledgements, and electronic signatures may be used to evidence transactions, notices, consent, payment activity, customer onboarding, admin actions, and device-management actions, subject to applicable law.

7. Acceptable use

You must not use Phonix Pay to:

  • Commit fraud or misrepresentation;
  • Submit false customer, merchant, device, or payment information;
  • Bypass payment obligations;
  • Tamper with the DPC app or financed device controls;
  • Attempt unauthorised access to systems or data;
  • Share accounts or credentials;
  • Upload malware or harmful code;
  • Interfere with platform operations;
  • Scrape, copy, or misuse data;
  • Reverse engineer protected platform components;
  • Harass, threaten, or abuse staff, merchants, or customers;
  • Use the platform for illegal or unauthorised activities.

We may investigate suspected misuse and may suspend or restrict access while an investigation is ongoing.

Part B: Customer Marketing Website Terms

8. Website purpose

The Phonix Pay marketing website provides general information about Phonix Pay, smartphone financing, participating merchants, repayment visibility, DPC app features, support, and related services.

The website may include how it works pages, find a retailer forms, retailer request forms, customer education, FAQs, marketing pages, support pages, legal documents, and blog or educational content.

Website content is for general information only and does not create a financing approval, loan offer, device reservation, merchant guarantee, or binding repayment plan unless confirmed in a separate written or electronic agreement.

9. Customer interest forms and retailer requests

If you submit a form through the marketing website, you agree that the information you provide may be used to:

  • Contact you about Phonix Pay;
  • Connect you with an approved merchant;
  • Respond to your inquiry;
  • Assess customer interest;
  • Provide support;
  • Improve our services;
  • Maintain business records.

Submitting a form does not guarantee approval, device availability, specific pricing, specific deposit amount, or a particular repayment schedule. A merchant may require additional information before offering a financing plan.

10. Website accuracy and availability

We try to keep website information accurate and up to date, but device availability, merchant participation, repayment plans, prices, deposits, and offers may change. We may update, remove, or modify website content at any time.

You should confirm final device price, deposit, repayment cycle, total payable amount, documents, and device-management terms before signing any financing agreement.

11. Third-party links

The website may contain links to third-party websites, tools, payment services, social media pages, or merchant sites. We are not responsible for third-party content, practices, availability, security, or terms. You should review third-party terms and privacy policies before using them.

Part C: Admin Platform Terms

12. Admin Platform purpose

The Admin Platform is used by authorised merchants, shop owners, staff, finance teams, operations teams, and platform administrators to manage smartphone financing operations. Only authorised users may access the Admin Platform.

13. Merchant responsibilities

Merchants are responsible for their own business activities, including:

  • Selling or providing devices lawfully;
  • Explaining financing terms to customers;
  • Ensuring customers understand deposits, payment cycles, total payable amount, and consequences of default;
  • Collecting accurate customer information;
  • Obtaining required customer consent;
  • Uploading accurate documents;
  • Using only approved contracts and notices;
  • Complying with applicable laws;
  • Handling customer complaints professionally;
  • Protecting customer data;
  • Training staff who use the platform;
  • Not misusing device-control features.

Merchants must not use Phonix Pay to mislead customers, hide payment obligations, impose unauthorised charges, or apply device controls outside the agreed financing terms.

14. Staff users and roles

Merchant owners and administrators are responsible for managing staff access. Staff access may be controlled through roles such as Superadmin, Shop Owner, Merchant Admin, Operations Officer, Finance Officer, Collections Officer, Sales Agent, Support User, and Read-only User.

Sensitive actions may require MFA, manager approval, reason notes, or audit logging.

15. Customer onboarding and records

When a merchant or staff user creates a customer record, they must ensure the information is accurate and obtained lawfully. Customer records may include name, phone number, address, emergency contact, guarantor information, Ghana Card or identity information, passport picture, device selected, contract type, payment plan, documents and consents, and DPC app status.

Merchants must not upload false documents, use someone else's identity, or create financing records without the customer's knowledge and consent.

16. Contracts and documents

The Admin Platform may allow merchants to create, assign, store, and manage documents such as:

  • Hire purchase agreements, conditional sale agreements, repayment schedules, and device management notices;
  • Privacy notices, terms and conditions, DPC consent forms, warranty terms, handover certificates, completion certificates, and receipts.

Apex Arbitrage Ventures may provide templates, but merchants are responsible for ensuring that final documents are suitable for their business model and legally reviewed. A signed customer financing agreement may contain terms that are more specific than these Terms.

17. Plans and repayment schedules

Merchants may create or assign repayment plans through the Admin Platform. Plans may include device price, deposit amount, balance after deposit, installment amount, payment cycle, grace period, due dates, total payable amount, expected completion date, default consequences, and release terms.

Merchants must show customers the applicable payment terms before the customer accepts the financing agreement.

18. Payments

Phonix Pay uses payment providers to process or verify payments. Payment features may include mobile money payments, payment verification, receipts, payment status updates, and payout or settlement records.

Phonix Pay may rely on payment provider confirmations and transaction verification to update customer balances, receipts, unlock status, or completion status. Merchants must not manually mark a payment as confirmed unless they have proper evidence.

19. Payment disputes, reversals, and errors

If a payment is disputed, reversed, failed, duplicated, or incorrectly recorded, Phonix Pay or the merchant may review the transaction and adjust the customer account. Customers and merchants may be required to provide evidence such as payment reference, mobile money confirmation, receipt, transaction ID, payment date, and amount.

A payment may not be treated as final until verified by the payment provider or approved by authorised finance staff.

20. Inventory and device assignment

Merchants must accurately manage devices and inventory assigned through Phonix Pay. Inventory records may include brand, model, IMEI, serial number, stock unit, device preset, cost or selling price, status, merchant assignment, and customer assignment.

21. QR provisioning and DPC setup

The Admin Platform may allow staff to provision devices using QR enrollment or other supported setup methods. Before handing over a financed device, staff must complete required checks, which may include customer record creation, contract creation, required documents, DPC consent, device selection, supported management mode activation, initial policy application, device identity collection, payment plan assignment, and handover checklist completion.

If provisioning fails, staff must not misrepresent the device as fully ready.

22. Device commands and DPC operations

The Admin Platform may allow authorised users to send device-related commands, including lock device, unlock device, start Lost Mode, stop Lost Mode, request location, ring device, send reminder, reapply policy, and release device after full payment.

These actions must be used only for lawful, authorised, and documented purposes consistent with the customer's agreement, device management notice, and applicable policy. Sensitive commands may be logged, reviewed, restricted, or require approval.

23. Audit logs

Phonix Pay records audit logs for staff actions, system events, payment events, device commands, policy changes, customer updates, security events, document actions, and other platform activities. Audit logs may include actor, role, timestamp, action, target record, before and after values, IP address, device/browser information, reason note, approval status, MFA status, and result.

Audit logs are used for accountability, security, dispute resolution, compliance, and platform integrity. Users must not attempt to delete, alter, conceal, or bypass audit records.

24. Admin Platform prohibited conduct

Admin Platform users must not:

  • Create false customer accounts;
  • Record fake payments;
  • Backdate or alter payment records without approval;
  • Lock or unlock devices without authority;
  • Reveal sensitive account information without approval;
  • Export customer data without a business reason;
  • Share login credentials;
  • Disable security settings without approval;
  • Bypass audit logging;
  • Use customer data outside authorised business purposes;
  • Use device controls for harassment, retaliation, or non-contractual reasons.

Violation may result in account suspension, merchant suspension, reporting to the merchant owner, legal action, or notification to relevant authorities where appropriate.

Part D: Mobile DPC App Terms

25. DPC App purpose

The Phonix Pay DPC App or customer app may be installed on a financed device to support the customer's repayment plan, documents, payment visibility, device setup, device support, and device-management features.

The app may allow customers to view payment status, balance, next due date, receipts, documents, completion status, and release documents after full payment; make or initiate payments; receive reminders and device status updates; and contact support or the merchant.

The app may also support device-management features required under the customer's financing agreement and device management consent.

26. Customer consent and financed devices

Where a customer accepts a financed device, the customer may be required to accept:

  • A financing agreement, repayment schedule, privacy notice, DPC app notice, device management consent, lock/unlock policy, and document and consent package.

By accepting a financed device with the DPC App installed, the customer agrees that the DPC App may operate during the active financing period as described in the applicable documents.

27. Device-management features

Depending on the customer's agreement, device model, Android version, and policy profile, the DPC App may support device provisioning, payment status sync, payment reminders, device lock or unlock, restricted mode, Lost Mode, device status checks, policy application, tamper alerts, FRP protection where applicable, and release after full payment.

These features are intended to support financed-device management and protect the value of the financed device during the repayment period.

28. Payment reminders and overdue actions

Customers may receive notices about upcoming payments, payments due today, overdue payments, grace period start, grace period ending, payment received, phone restricted, phone unlocked, and plan completed.

If a customer misses payments, device restrictions may apply only as described in the customer's financing agreement, repayment schedule, device management consent, and applicable policy.

29. Device lock, unlock, and restricted mode

If permitted by the customer agreement and applicable policy, the DPC App may restrict device access when payments are overdue or when another agreed enforcement condition applies.

Restricted mode may still allow access to Pay Now, call retailer, emergency call, support, view agreement, view payment status, and view receipts or documents.

After a confirmed qualifying payment, the device may be unlocked automatically or manually, depending on the policy, payment verification, connectivity, and command delivery.

Unlock may be delayed if payment has not been verified, the device is offline, the payment provider has not confirmed the transaction, the command has not yet reached the device, or there is a dispute, reversal, or security issue.

30. Lost Mode and recovery features

If a device is reported lost or stolen, Phonix Pay or the merchant may activate Lost Mode where supported and authorised. Lost Mode may allow device lock, ring device, last known location request, call merchant option, found device button, recovery message, and recovery timeline.

Location or recovery features should be used only as permitted by customer consent, applicable law, and the relevant financing documents.

31. Factory reset protection and device release

Some financed Android devices may use factory reset protection or similar recovery controls during the active financing period. When the customer fully pays and the contract is completed, Phonix Pay should apply the relevant release process.

The release process may include marking the contract completed, stopping payment enforcement, unlocking the device, generating completion documents, releasing financing restrictions, updating or clearing FRP settings where applicable, and changing device status to released.

The specific release process depends on the device, policy, Android version, technical capability, customer agreement, and operational requirements.

32. Customer obligations for the DPC App

Customers must not:

  • Tamper with the DPC App;
  • Attempt to bypass device-management controls;
  • Factory reset the device to avoid payment obligations;
  • Remove or disable required settings;
  • Use false payment evidence;
  • Transfer the financed device without permission where prohibited;
  • Obstruct policy sync;
  • Use the device for unlawful activity.

If the customer believes there is a mistake, payment error, device issue, or unfair restriction, the customer should contact the merchant or Phonix Pay support.

33. App updates

Phonix Pay may update the DPC App to improve security, reliability, payment features, documents, policy sync, notifications, or compatibility. Some updates may be required for the app to continue working properly.
